Terms of Service

1. Acceptance

By creating an account on AdukooCMS (operated by Adukootech, “we”, “us”, or “our”), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using AdukooCMS on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Free trial, pricing & payment terms

New accounts include a 7-day free trial with full feature access. After the trial, continued use requires a paid license. AdukooCMS is operated by Adukootech (India), an Indian company; pricing is dual-currency:

• Payment currency. Indian customers (or customers with an Indian GST registration) are billed and pay in Indian Rupees (INR) toAdukootech (India)'s designated business account; GST is added at the rate prevailing on the invoice date. International customers are billed in US Dollars (USD). Exact remittance instructions are issued by email against your purchase order — please contact Adukoocms@gmail.com to receive the current bank / wire / processor details for your billing region.
• Payment is due upfront, in full, before activation. No partial payments, no deferred billing, no net-30/60/90.
• Licenses are non-refundable. Once payment is received and the workspace is activated, no refund — partial or full — will be issued under any circumstance, including non-use, internal restructuring, or change of business direction.
• Licenses are non-cancellable mid-term. A license is valid for the full 12-month period and cannot be cancelled, prorated, paused, or downgraded during that term. Renewal at the end of the term is optional and at the customer's discretion.
• Following trial expiry, non-licensed accounts are gated from non-authentication API calls and from login until an admin grants a license against confirmed payment.
• Prices are exclusive of taxes (GST, VAT, sales tax, withholding, etc.). Customer is responsible for all applicable taxes; TDS deductions (where applicable in India) must be supported with a valid TDS certificate. Pricing may change with 30-day notice; existing paid terms are not affected for their remaining duration.
• FX rate between USD and INR is set by Adukootech (India) on the invoice date; published price is indicative.

3. Service availability — uptime, downtime & infrastructure

AdukooCMS is a self-service SaaS tool that operates over the public internet and depends on third-party infrastructure (database providers, network transit, DNS, cloud hosting, browsers). Customer acknowledges and agrees:

• No uptime SLA. Adukootech makes no warranty, express or implied, regarding uninterrupted availability of the service. The platform is provided on an as-is, as-available basis.
• No liability for downtime. Adukootech disclaims any and all liability for service interruptions, latency, data unavailability, network outages, database failures, hosting provider incidents, or any other cause beyond our reasonable control. License fees are not refunded, prorated, or credited for any period of downtime, scheduled or unscheduled.
• Best-effort support & escalation. We do however operate a support channel at Adukoocms@gmail.com where you can escalate critical issues, report incidents, and request restoration of service. Our team will use commercially reasonable efforts to investigate and resolve issues, but provides no guaranteed response time or restoration window unless covered by a separately negotiated Enterprise support agreement.
• Self-service tool. AdukooCMS is a self-service workspace. Workspace admins are responsible for user provisioning, data accuracy, document integrity, backup verification, and operational decisions. Adukootechdoes not perform managed services on customer agreements, contracts, or data.
• Customer should maintain their own off-platform backups of business-critical agreements. The in-app Export feature (PDF / DOCX / HTML / TXT) is the recommended primary backup method.

4. Your account & security

You agree to provide accurate registration information, keep your password confidential, maintain your 5 security questions, and notify us immediately of any unauthorized access. You are responsible for all activity under your account. AdukooCMS enforces a 30-minute idle auto-logout, brute-force lockout, and answer-verification password reset. We never disclose your security-question answers and never transmit your password in clear text. You alone are responsible for the legal validity of agreements you create, sign, share, or execute through AdukooCMS.

5. Permitted use

You may use AdukooCMS to draft, share, e-sign, store, and renew lawful agreements for personal or business purposes. You agree not to upload illegal content, infringe third-party intellectual property, transmit malware, attempt unauthorized access, reverse engineer the service, or use it for spam, fraud, or impersonation.

6. E-signatures

AdukooCMS provides a built-in e-signature pad (drawn or typed) intended for ordinary commercial agreements where electronic signatures are recognised by applicable law (e.g., ESIGN Act in the U.S., eIDAS in the EU, IT Act in India). For certain jurisdictions or transaction types, wet signatures or qualified electronic signatures may be required. You are solely responsible for confirming that AdukooCMS’s e-signature mechanism is appropriate for your transaction. Optional external DocuSign integration is owner-managed (BYO-keys) — the workspace owner provides their own DocuSign credentials, billing, and liability.

7. Data, confidentiality & ownership

You retain all ownership of the content you upload, draft, or sign. We store and process your content solely to provide the service. We do not sell your data. Workspace data (agreements, comments, signatures, audit logs) is encrypted at rest and in transit. You may export your data at any time via the in-app Export and Audit Log features. Backups are retained for 30 days after account deletion before permanent erasure.

8. Roles & multi-user access

Workspace admins control user roles (Admin, Legal, Internal, External). Only the agreement owner or an admin can edit, delete, or share an agreement. Shared recipients receive read-only access. Legal-role users get workspace-wide read access. Misuse of admin privileges or impersonation of other users is grounds for immediate termination.

9. Third-party integrations

AdukooCMS may interoperate with external services (DocuSign, email providers, payment processors). Use of those services is governed by their own terms. We are not liable for the availability, accuracy, or actions of third-party services.

10. Disclaimers & legal advice

AdukooCMS is software, not a law firm. Templates and guidance provided are illustrative and do not constitute legal advice. You should consult a qualified attorney in your jurisdiction for any agreement of material importance. We make no warranties as to fitness for any particular legal purpose.

11. Limitation of liability

To the maximum extent permitted by law, Adukootech and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or in connection with your use of AdukooCMS. Total cumulative liability shall not exceed the fees you paid us in the preceding twelve (12) months.

11. Termination

You may delete your account at any time from Settings. We may suspend or terminate accounts that violate these terms, are inactive beyond 24 months, or are subject to unpaid invoices. Upon termination, your data may be exported within 30 days, after which it is permanently erased.

13. Governing law & changes

These terms are governed by the laws of the jurisdiction in which Adukootech is registered, without regard to conflict-of-laws principles. We may update these terms with 30-day notice for material changes via in-app notification or to the email on your account.
